Welcome to the HBL FanTunes website (“Website”), a creative initiative by Habib Bank Limited (“HBL”) where eligible users can generate AI-based songs based on using system-provided, auto-composed music, participate in a digital contest, and share their creations on social media to win exciting prizes.

By accessing or using the Website, you (“User” or “Participant”) acknowledge, understand and that the User shall be bound by these Terms of Use and all applicable laws and regulations. If you do not agree with these Terms of Use, you are prohibited from using or accessing this Website and must immediately discontinue the use of the Website.

1. Eligibility

Participation in the contest is open to individuals aged 13 and above. HBL reserves the sole discretion to determine the eligibility of any participant and may request additional information for verification. In the event a winner is under the age of 18 and does not hold a bank account (e.g., a 14-year-old), the prize amount will only be disbursed upon provision of valid parent or legal guardian details and their bank account information. The parent or guardian will be required to facilitate the prize collection on behalf of the minor, subject to verification and necessary documentation as determined by HBL. Participation is open to residents of Pakistan only.

Multiple entries from the same individual using different email addresses or profiles will not be eligible for the competition. Each eligible entry is valid for a single email address.

2. Participation & Content Generation

Participation in the FanTunes competition is free and open to all eligible users during the Campaign period from 11th April 2025 to 17th May 2025, Time 23:59:59 Pakistan Standard Time (PKT) (“Campaign Period”). Any submissions received after the Campaign Period will not be considered.. All creative content (music/song/tunes / visual depictions) is generated using artificial intelligence (AI) based on system-provided, auto-composed music and system algorithms (“Content”). Users will not be able to input any text, lyrics, or keywords for the music generation. Once Content has been generated, it cannot be altered unless the Website provides editing tools for that purpose.

3. Content Guidelines (music/song/tunes)

Users are solely responsible for the manner in which they utilize the system-provided music and the resulting AI-generated music/song/tunes. While users cannot input text or lyrics for music generation, the Content must not contain:

• Hate speech, abusive or offensive visual depictions.
• Material that infringes upon intellectual property or privacy rights of others through visual representation.
• Content that violates any applicable law or regulation through visual depiction.

HBL reserves the right to moderate, remove, or disqualify any Content deemed offensive, inappropriate, misleading, spam, or otherwise in violation of these Terms, at its sole discretion.

4. Intellectual Property & Usage Rights

All user-generated Content remains the property of the user and the user grants HBL and its sublicensees (including partners and affiliates) a non-exclusive, global, royalty-free, irrevocable, perpetual, and transferable license and the right to:

• Use, publish, reproduce, display, distribute, modify, adapt, and create derivative works from the Content or any part thereof (including the associated system-provided music) across all media channels (including online and offline) for promotional, marketing, advertising, and commercial purposes related to HBL.
• Use the user's name, image, likeness, and social media handle for marketing and promotional purposes related to the competition and HBL. The User agrees that HBL shall have the right to publish the User’s details and the Content on its website and social media platforms.
  The user acknowledges that the underlying AI models and algorithms used to generate the Content are the proprietary property of their developers and that the user's rights are limited to their specific generated output based on the system-provided music. To the fullest extent permitted by law, the user waives all present and future rights in the Content except as specifically stated herein. The User acknowledges and agrees that it is not entitled to nor shall it claim o any compensation from HBL for the use of the Content or any part thereof and / or for the use of the Website.
• The User is responsible for the Content submitted and HBL shall not be liable for any third party claims, arising directly and / or indirectly from the submission of the Content by the User; provided however, HBL has the right to delete, move, or edit submissions, at its sole discretion, for any reason whatsoever and shall not be required to notify the User prior to any such deletion, move and / or editing.

5. Social Media Participation (Mandatory Requirements)

To qualify for participation in the competition:

• Users must share their AI-generated music/song/tunes (potentially with the system-provided music, depending on platform capabilities) on at least one of the following social media platforms: Instagram, Facebook, or TikTok.
• Users must use all the relevant campaign hashtags: #HBLPSLX #Zabar10Khel #DECADEOFHBLPSL #HBLPSLFANTUNES and tag HBL’s official social media accounts on each respective platform where the content is shared.
• Participants are required to submit the link(s) to their shared post(s) as instructed on the Website.
• Entries that do not meet all of these requirements will not be considered for competition eligibility or evaluation.
• The Leaderboard will be updated every week rather than daily.

6. Judging Criteria & Winner Selection

The winning entries will be determined based on the highest number of views received on the submitted social media post(s) across supported social media platforms, as tracked by HBL's designated social listening and tracking tools. The top three entries with the highest number of views will be declared as the first, second, and third prize winners, respectively.

Disclaimer: HBL makes no guarantees regarding the accuracy or completeness of the engagement tracking tools and shall not be liable for any errors, omissions, discrepancies or errors resulting directly and / or indirectly from system malfunction, third-party errors, algorithmic limitations, or any discrepancy in metrics:

• HBL shall not be liable for the omission, disqualification, or misrepresentation of any user entry.
• HBL reserves the right to use alternative judging criteria or to select winners at its sole discretion if technical issues or manipulation are suspected.
• The decision of HBL and its appointed team shall be final and binding, and no correspondence and / or communication shall be entertained regarding the selection of winners.

7. Prizes

The total prize pool for the HBL FanTunes Competition is PKR 1,000,000 (Pakistani Rupees One Million). The prizes will be distributed as follows:

Top 10 Participants: PKR 100,000 each (Pakistani Rupees One Hundred Thousand each)All prizes and prize money distributed are subject to deduction of applicable taxes and levies per the laws of Pakistan. The cash prizes are non-transferable, non-refundable, and may not be exchanged for other forms of compensation unless explicitly stated otherwise by HBL. The decision of HBL regarding the selection of winners and the awarding of prizes will be final and cannot be contested. Winners are solely responsible for any other costs associated with the prize unless explicitly stated by HBL.

The winner announcement will be made on May 18th. Prize distribution will be completed within 45 working days from the date of the winner announcement. HBL reserves the right to substitute prizes of equal or greater value at its sole discretion.

8. Disqualification

HBL reserves the right to disqualify any user who:

• Provides false or misleading information.
• Attempts to manipulate engagement through bots, paid views, or other unethical or fraudulent means.
• Violates these Terms or applicable laws.
• Attempts to tamper with the Website or the competition process.
• Engages in any behavior that HBL deems unfair, disruptive, or detrimental to the competition.

9. Data Collection & Privacy

HBL will collect personal information (e.g., name, email, phone number, social media handles) solely for the purposes of:

• Identifying and contacting participants and winners.
• Administering and tracking submissions and engagement for the competition.
• Verifying the eligibility of participants.

User data will not be sold to third parties. However, HBL may share necessary personal information with service providers who are assisting with the competition (e.g., platform providers, prize fulfillment agencies) under strict confidentiality agreements. By participating in the competition, users consent to the collection and use of their personal information for the purposes outlined in these Terms and HBL’s full Privacy Policy, which is accessible at HBL's Privacy Policy. User data related to the competition will be retained for a period necessary to administer the competition and as required by applicable law.

10. Limitation of Liability

Notwithstanding anything contained herein and to the fullest extent permitted by law, neither HBL nor its affiliates, officers, employees, agent and / or service providers, shall be liable for any direct, indirect, incidental, special, punitive, exemplary and / or consequential losses and / or damages of any kind, including but not limited to personal injury, property damage, loss of data, loss of goodwill, lost profits, business interruption and / or reputational harm, arising directly and / or indirectly from the access to or use of and / or inability to access and / or use the Website or any of its feature; participation in and / or disqualification from the competition, reliance on and / or use of any AI generated content; the acceptance, receipt, use or misuse of any prize and / or the inability to use the same; and / or any unauthorized access to, use of, or alteration of submission or data.

• HBL makes no representations or warranties regarding the accuracy, originality or fitness for purpose of any AI-generated artwork or content (based on system-provided music). All content and tools provided on the Website for the generation of the Content are on an “as-is” basis without any guarantees.
• Any similarity between AI-generated artwork and real person (living or deceased), existing works and / or third party intellectual property is purely coincidental and unintended.
• HBL shall not be liable for any technical issues, including but not limited to system malfunctions, errors, omissions, interruptions, deletions or loss of data, defects, delays in operation or transmission, communication failures, theft or destruction or unauthorized access, or alteration of user submissions, data and / or information.
• HBL does not guarantee continuous, uninterrupted and / or error-free access to the Website.

11. Indemnification

Users agree to fully indemnify, defend and hold harmless HBL, its subsidiaries, affiliates, officers, directors, employees, agents, licensors and service providers (collectively “Indemnified Parties”) from and against any and all claims, demands, causes of action, liabilities, losses, damages, judgments, penalties fines, costs and / or expenses of any kind (including but not limited to reasonable legal and professional fees) arising out of, relating to and / or in connection with:

• Their participation in and / or disqualification from the competition.
• Any content (including but not limited to artwork, music, or other submissions) submitted, uploaded or otherwise made available by the User, including but not limited to claims of intellectual property infringement, misappropriation, privacy violations, defamation and / or breach of confidentiality.
• Their violation of these Terms or any applicable laws or regulations.
• Their misuse, unauthorized access and / or abuse of the Website, platform and / or any related systems.

Any claim that the conduct of the User or the content has caused damage and / or harm, direct and / or indirect, to any third party.

This indemnity shall survive the termination or expiration of the User’s participation in the competition and / or the use of the Website. HBL reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

12. Modification of Terms

These Terms and Conditions (the “Terms and Conditions” or “T&Cs”) shall apply to all customers who participate in the Campaign as per the Campaign mechanics and who conduct the Transaction (as defined below). These T&Cs constitute an agreement between you (“You” or the “Customer”) and HBL when You perform the Transaction, whereby You unconditionally accept and agree to be bound by these Terms and Conditions. HBL reserves the right to update, modify, or discontinue any aspect of the Website or these Terms at its sole discretion, at any time, with or without prior notice. Continued use of the Website and participation in the competition after any changes to the Terms and Conditions shall be deemed to constitute acceptance of such revised Terms by all Users. Users are encouraged to review these Terms periodically for any updates or changes.

13. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising out of or in connection with these Terms or the competition shall be subject to the exclusive jurisdiction of the courts in Karachi, Pakistan.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be struck, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms constitute the entire agreement between the User and HBL with respect to the HBL FanTunes Competition and supersede all prior or contemporaneous communications and proposals, whether oral or written.
